Membership Agreement

This Membership Agreement (the “Agreement”) is effective upon successful purchase and creation of Member’s account by KMLD Wellness (the “Company”) and you as a participant (the “Member”). The collective of all members is known as the Community (the “Community”).

As a member (“you” or “You”) access the Community via the Company’s site (the “Site”) with a business address of [insert your mailing address]. 

By accessing, browsing, or using the Site or by selecting “I Accept” during the membership registration, you represent that you have read, understand, and agree to be bound by the terms and conditions of this Agreement.

 

NATURE OF THE SERVICE

The Company provides access to you, a member, to its content based on you maintaining an account in good standing. 

The Company provides access to email and messaging support, access to an online forum & community experience, access to online course materials, special events, live calls, and one-on-one support.

As part of the service provided by the Company, you are also granted access to the Community. 

The Community is a social network facilitating the exchange of personal information between people. This socialization shall include reading the profile pages of other members and possible even contacting them. The Community provides you, a member, benefits such as but not exclusive to: discounts, options to upgrade, access to one-on-one services

The Community works like an online community of internet users.

ACCESS TO 1:1 SERVICES ARE ONLY AVAILABLE TO ACCOUNTS IN GOOD STANDING, FOLLOWING THE TRIAL PERIOD.

MEMBER REGISTRATION AND INFORMATION

  • Member shall fill in the correct information requested in the registration form provided by the Company. 
  • Member shall be required to promptly update the user information on the site.
  • Member shall select a username and password during the member registration process.
  • Member shall be responsible for (a) all use of the Community made by the Members username and password, and (b) maintaining the confidentiality of the Member’s username and password.

PAYMENT TERMS

To remain in good standing with Company and participation in the Community, Member shall submit payment to the Company according to the following terms:

    • Following a free 14-day trial, payment of 27 USD is due each month. Member retains access to the Community for up to 30 days after payment is received.
    • Upon execution of this AGREEMENT, following the 14-day free trial period, CLIENT is responsible for the full monthly fee of 27 USD. If CLIENT decides to cancel, not participate, or changes his or her mind, the COMPANY DOES NOT PROVIDE ANY REFUND FOR ANY REASON TO THE CLIENT.

 

  • Member may receive one 14-day free trial for the lifetime of the membership. The Company reserves the right to disallow multiple trial periods.

 

  • Members may cancel at any time and will retain access to the Community for up to 30 days after payment is received.
  • Follow all the terms and conditions of this agreement including but not limited to: Community guidelines, Facebook group terms, group challenges, topics of group calls

CONTENT

The Community includes, but is not limited to: messages, materials posted to forums, groups, or other locations on the Site (the “Content”). You agree to grant the Company the nonexclusive right to post, display, copy, and modify the Content in connection with the operation of the Site and the Company’s business. 

You agree to grant the Company the nonexclusive right to post, display, copy, and sell the Content within the limitations set by the Member during the online publishing process. 

You authorize the Community to disclose your personal data when you include such personal data in the content you are posting.

INTELLECTUAL PROPERTY

At no time does Company grant you the right to use its intellectual property for your own purposes; including but not limited to: trademarks, copyrights, patents, or trade secrets.

Company makes no claim over your intellectual property. As a member of the Community any ideas, insights, comments, posts, or replies that you make that place your intellectual property in jeopardy are made at your own risk. Company assumes no responsibility for any of your intellectual property.

CONFIDENTIALITY

The term “Confidential Information” means INFORMATION WHICH IS NOT GENERALLY KNOWN TO THE PUBLIC RELATING TO THE COMMUNITY.

Company agrees not to disclose, reveal, or make use of any Confidential Information learned of through its transactions within the Community without the written consent of the Member(s) involved.

Member shall keep the Confidential Information of the Company in strictest confidence and shall use its best efforts to safeguard all Community Confidential Information.

RELEASE

If you have a dispute with one or more other Members, you shall release the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

PRIVACY

Community shall not sell, rent, or share personal information to third parties without your explicit consent. Community shall store and process Member information is controlled by Company’s Privacy Policy . 

NO AGENCY

No agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship is intended or created by this Agreement.

TERMINATING MEMBERSHIP

Member may terminate membership at any time. There are no refunds on previous monies paid. If Member notifies Company before ten (10) days of the next payment being due, Company will not run the next payment.

Any material contributed by member, including but not limited to: comments, posts, replies, photos, videos, remains within the Community and is not returned to the Member. Member may also not demand any form of financial benefit for any content contributed while a Member.

LIMITATION OF LIABILITY

Member shall not hold Community responsible under any circumstances for other Members’ content, actions, or inactions. 

INDEMNITY

Member shall indemnify and hold the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Members breach of this Agreement, or Members violation of any law or the rights of a third party.

GOVERNING LAW

This Agreement shall be governed and interpreted in accordance with the laws of the State of Michigan, USA without giving effect to any principles of conflicts of law.

ARBITRATION

The Company and you agree to submit any dispute or controversy arising out of, or relating to this Agreement to arbitration in Ottawa County, MI, USA according to the rules of the American Arbitration Association. The arbitration is binding upon the Company and you and all successors in interest. The prevailing party may collect all reasonable legal fees from the non-prevailing party in order to enforce the provisions of this Agreement.
